Assistance in the organization of companies in the establishment of joint ventures, consortiums, specific purpose companies, foundations and other forms of association and partnership; Assistance in corporate reorganizations, including mergers, amalgamations, split off, conversion and liquidation of companies; Assistance in due diligence processes in operations of acquisitions or other operations that may require such activity; Assistance in the acquisition or sale of companies and equity ownership; Drafting of Articles of Association and Bylaws; Drafting of Amendments to Articles of Association and reformulation of Bylaws; Drafting of Minutes of General Shareholders’ Meetings, of Council of Administration and Audit Council meetings; Drafting of Shareholders’ and Quotaholders’ Agreements; Representation of shareholders in General Shareholders’ Meetings; Assistance in the registration of documents with State Commercial Registries; Assistance in the dissolution and liquidation of companies, the creation and closure of branches, drafting of relevant facts and registration in corporate books.

Assistance in matters of the competence of the Central Bank of Brazil, especially with regard to foreign investment, taking all necessary steps for registrations in the RDE-IED and remittance of funds; Assistance in the drafting of several instruments of capitalization contemplated in the Brazilian legislation; and drafting of briefs of defense in administrative proceedings.
